1. Seller
The seller is Fermium GmbH, Hardeggweg 3, 3326 Krauchthal,Switzerland (VAT no. CHE-153.818.264 MWST), in these terms "we".
2. Product
Fermium Placemate ("Placemate") is software for Windows. It consists of an extension for Altium Designer 26 (AD26) and Altium Develop, a command-line tool, and the HTML files that it makes. The documentation describes the functions. The live demo shows the HTML files.
3. Price and payment
A seat costs $25 (US dollars), once. The price includes any value-added tax or sales tax. The checkout shows the tax amount before you pay. Stripe processes the payment. The contract is made when the payment is complete.
3a. Payment by invoice and custom prices
Companies can pay by invoice for 4 to 9 seats. The invoice is due30 days after its date. The contract is made when we send the invoice. For10 seats or more, we make a custom offer.
4. Delivery
We deliver Placemate as a download. After a card payment, the download link shows right away and comes by e-mail. After the payment of an invoice, the download link comes by e-mail. The link gives the current version of Placemate.
5. Licence
- Each seat gives one person a perpetual, non-exclusive, non-transferable right to install and use the Placemate extension and the command-line tool. The person can install them on all computers that the person uses.
- The licence includes all versions of Placemate, also the future versions, at no extra cost. The download link of the order always gives the current version.
- You can use the HTML files that Placemate makes without a limit, and give them to other persons, for example to an assembly technician or to a customer. To open a file, no seat is necessary.
- You may not copy, change, sell, rent or distribute the software, and you may not reverse engineer it, except where the law permits it.
- Placemate is proprietary software of Fermium GmbH. All rights that these terms do not give stay with us.
6. Warranty and liability
We make Placemate with care, but we cannot guarantee that it is free of errors. Check the result before you assemble a board, above all the polarity of parts that Placemate does not mark. To the extent that the law permits, our liability is limited to the price that you paid. This limit does not apply to damage that we cause by intent or by gross negligence.
7. Law and place of jurisdiction
Swiss law applies, without the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is the seat of Fermium GmbH. Mandatory consumer protection rules of your country stay in effect.
